The FINACTU Group is actively assisting the ATLANTIC Group in the acquisition of the Beninese life-insurance company ARGG and in obtaining a new accreditation for non-life insurance in Benin.
As part of its long-term technical assistance mission carried out for the ATLANTIC Group since 2014, FINACTU had the honor of being mandated to conduct the acquisition process of the company « Assurances et Réassurances du Golfe de Guinée (ARGG) ».
As part of this mission, FINACTU carried out a due diligence on ARGG through several analysis, including an analysis of the profitability structure, a financial assessment as well as the audit of its Information System. FINACTU also modeled the company's mid-term business plan, with particular attention to cashflow so as to identify and quantify potential capital increase requirements, potential sources of business development and levers for profitability enhancement.
After this due diligence phase, FINACTU accompanied the ATLANTIC Group in the preparation of the accreditation package required by the supervisory authorities and assisted the Group in all the works necessary for an efficient execution of this operation. The transaction was approved by the supervisory authorities in early 2016.
More recently, FINACTU conducted for the ATLANTIC Group the application process for a new accreditation for a non-life insurance company in Benin. The process was successfully carried out and ATLANTIC Assurances Bénin was accredited during the last session of the CRC last December, in Libreville.
In the current context marked by the recent reform on the minimum capital increase of insurance companies in the CIMA region, a large wave of mergers and acquisitions is being expected. With its two-fold expertise in insurance and in corporate finance, FINACTU confirms its ability to accompany not only insurance companies in the search for strategic partners but also investors throughout the participation process from the due diligence to the accreditation acquisition.
